TERMS AND CONDITIONS OF SALE

1 - GENERAL PROVISIONS
These terms and conditions were originally drawn up in French. The French version alone is authoritative and prevails over any translation into another language.
These terms and conditions apply in full, without restriction or reservation, to all online sales of products made by TORR PENN through its website at https://www.celeste-mogador.com to consumer Buyers worldwide.
They constitute the essential and determining conditions of those sales and prevail over any terms and conditions and/or other documents issued by consumer Buyers, regardless of their wording.
Accordingly, when a consumer Buyer orders a product offered for sale on https://www.celeste-mogador.com, the Buyer fully and unconditionally accepts these terms and conditions of sale and acknowledges having read them before placing the order.
TORR PENN reserves the right to amend these terms and conditions of sale at any time.
If one or more provisions of these terms and conditions of sale are held to be invalid or declared invalid under a law or regulation or following a final decision by a competent court, the remaining provisions will retain their full force and effect.
A party's failure to rely on the other party's breach of any obligation under these terms and conditions of sale shall not be interpreted in the future as a waiver of the obligation concerned.
2 - USERS
The online sales service is reserved for adult Buyers who purchase Products outside any professional activity, solely for their strictly personal needs.
Before placing any order, the Buyer therefore declares that:
- purchases of Products on www.celeste-mogador.com are unrelated to the Buyer's professional activity and are limited to strictly personal use;
- the Buyer has full legal capacity to enter into obligations under these terms and conditions of sale.
For this purpose, orders are limited to 15 Products per product reference per year.
3 - ACCESS TO THE WEBSITE
The Buyer is personally responsible for arranging the computer and telecommunications resources required to access www.celeste-mogador.com.
The Buyer remains responsible for telecommunications charges incurred when accessing the Internet and using the website.
4 - PRODUCT CHARACTERISTICS - AVAILABILITY
In accordance with Article L. 111-1 of the French Consumer Code, before placing an order the Buyer may consult the essential characteristics of the Product or Products the Buyer wishes to order on www.celeste-mogador.com.
Offers displayed on www.celeste-mogador.com are valid while stocks last.
Photographs and illustrations present the Products as faithfully as possible. Slight differences in appearance may arise from screens or the handmade nature of the pieces. The essential characteristics stated on the Product page bind TORR PENN, and the Buyer retains all statutory rights.
5 - CHOICE OF PRODUCTS
Having reviewed the Products and their characteristics, the Buyer selects, under the Buyer's sole responsibility and according to the needs identified before placing the order, the Product or Products ordered.
6 - ORDERS
Orders for Products are placed directly online on this Website using the form provided by TORR PENN.
As stated above, every order implies unrestricted and unconditional acceptance of these terms and conditions of sale.
Subject to the right of withdrawal referred to in Article 7 below, an order becomes final once TORR PENN sends the Buyer an order confirmation email and receives payment of the full price. TORR PENN recommends that the Buyer retain this information on paper or electronically.
TORR PENN shall always be entitled to cancel a sale, even after the confirmation email has been received, if the bank does not confirm effective payment of the amount requested.
The final confirmation of the order, after the Buyer has reviewed the order summary and total price, records the Buyer’s commitment to pay. An order confirmation is sent by email.
Amounts paid by the Buyer when placing the order shall under no circumstances constitute a deposit that the Buyer may forfeit in order to withdraw from the contract.
The benefit of a contract is personal to the Buyer and may not be assigned without TORR PENN's consent.
TORR PENN reserves the right to refuse an order from a Buyer with whom a dispute exists concerning payment for a previous order.
7 - RIGHT OF WITHDRAWAL
You have 14 calendar days to inform us of your decision to withdraw, without having to give a reason. The period begins on the day after the product is received by you or by a third party designated by you, other than the carrier. If several products from the same order are delivered separately, the period begins on the day after the last product is received.
If the final day of this period is a Saturday, Sunday, public holiday or non-working day, you may still exercise your right on the next working day.
You may notify us of your withdrawal by a clear statement, in particular by email to info@celeste-mogador.com.
The products must then be sent without undue delay and no later than 14 days after that statement is sent, unless we offer to collect them ourselves. Return shipping costs are paid by TORR PENN.
The time limits applicable to orders already placed remain those provided for when the orders were confirmed, without reducing statutory rights.
Return the products with the accessories and instructions supplied, in packaging that provides adequate protection. Use the original packaging where possible.
Where the right of withdrawal applies, opening or not having the original packaging and merely examining the product do not justify automatically refusing the return.
You may handle the product to the extent necessary to establish its nature, characteristics and operation. If handling beyond what is necessary for that examination causes a loss in value, a deduction corresponding to the depreciation actually established may be applied, provided that you were informed in advance of your right of withdrawal. The reason for and amount of the deduction will be explained to you. No flat-rate deduction will be applied.
To make processing the return easier, please provide your order number. You may include the return slip or a copy of the invoice. The absence of these documents is not sufficient grounds for refusing the withdrawal if the order can be identified.
If the Buyer withdraws, TORR PENN refunds all sums paid, including standard delivery charges, without undue delay and no later than 14 days after being informed of the decision. Additional costs arising from the Buyer’s express choice of a delivery method more expensive than standard delivery are not refunded. For sales of goods, TORR PENN may defer the refund until it receives the goods or proof that they have been sent back, whichever occurs first. The refund is made using the original payment method unless the Buyer expressly agrees to another method at no additional cost.
If the Buyer expressly chooses this after reviewing its terms, a store credit may replace the refund. The terms of that store credit are set out in Article 17 below.
8 - PRODUCT AVAILABILITY
If a Product becomes unavailable after an order is placed, TORR PENN will inform the Buyer as soon as possible. A different Product will only be supplied with the Buyer’s express agreement, after the Buyer has been informed of its characteristics and price.
If the order cannot be fulfilled within the agreed delivery period, the Buyer has the rights set out in Article 11.3 concerning late or non-delivery. If the contract is terminated, TORR PENN refunds the sums paid under the conditions and within the time limits required by law.
9 - PRICES
The applicable price is the price displayed for the Product and selected market when the order is confirmed. It is shown in the currency indicated on the website and confirmed at checkout. For orders in France, prices are shown in euros including applicable VAT.
Any delivery charges and the total price are shown before the order is confirmed. For deliveries outside the European Union, customs duties and import taxes may apply depending on the destination; available information is provided during checkout and on the Shipping & Returns page.
TORR PENN may change its prices at any time without affecting orders already confirmed.
10 - PAYMENT
The total price and payment currency are shown before the order is confirmed. The payment methods actually available are those displayed at checkout, including cards and digital wallets accepted by Shopify Payments and bank transfer when that option is available.
Electronic payments are processed in a secure environment by Shopify Payments. TORR PENN does not have access to the full card number entered at checkout.
For bank transfers, the order is processed after payment is received and verified. If payment is declined or fails, TORR PENN informs the Buyer and does not dispatch the order until it has been paid for.
Information needed to prevent fraud may be processed by payment providers as described in the privacy policy.
11 - DELIVERY
11.1 - General rules
The Products will be delivered to the address provided by the Buyer on the order form.
If Products are only partly available, TORR PENN may divide the order. Available Products may therefore be sent first, and the balance of the order will be sent when all the other Products ordered are available.
TORR PENN offers Buyers delivery by tracked postal letter or by carrier.
The information below helps with the processing of delivery incidents. Failure to follow it cannot, by itself, deprive the Buyer of statutory warranties and remedies.
11.2 - Standard postal delivery
The Buyer is delivered at home by a postal delivery worker. If the Buyer is absent, the Buyer or recipient of the ordered Product receives a delivery notice allowing them to contact the postal service so that delivery can take place when the Buyer is present.
On delivery, the Buyer is advised, where possible, to check the condition of the parcel and Products. If there is a visible anomaly, the Buyer is invited to report it to the carrier, record precise reservations on the delivery note or refuse the parcel, and notify TORR PENN at info@celeste-mogador.com.
Accepting delivery or failing to record reservations with the carrier does not deprive the Buyer of rights under statutory warranties and does not release TORR PENN from its obligations.
11.3 - Time limits
Average delivery times from the www.celeste-mogador.com warehouse for delivery in metropolitan France are 2 to 7 business days.
TORR PENN undertakes to comply with the delivery date or time agreed with the Buyer before the order is confirmed. General information about carriage does not remove this commitment. If no date or time has been agreed, delivery will take place without undue delay and no later than thirty days after the contract is entered into.
In the event of a delay or a parcel that has not been received, the Buyer is invited to contact TORR PENN at info@celeste-mogador.com, stating the order number. TORR PENN will follow up the request and take the necessary steps with the carrier.
If delivery does not take place within the agreed time or, failing that, within the statutory time, the consumer Buyer may ask TORR PENN in writing to deliver within a reasonable additional period. If delivery does not take place within that new period, the Buyer may notify TORR PENN in writing of the decision to terminate the contract. Termination takes effect when TORR PENN receives that notice, unless delivery has taken place in the meantime. These steps may in particular be taken by email to info@celeste-mogador.com, while retaining evidence of the exchanges.
The consumer Buyer may terminate the contract immediately if TORR PENN refuses to deliver or where the delivery time was an essential condition of the contract and was not met, under the conditions provided by law. The Buyer also retains the right to suspend payment of all or part of the outstanding balance under the statutory conditions.
If the contract is terminated because of late or non-delivery, TORR PENN will refund all sums paid under the terminated contract, including delivery costs, without undue delay and no later than fourteen days after termination. The refund will be made through the payment method used for the purchase, unless the Buyer expressly agrees to another method at no additional cost. Statutory increases apply to late refunds.
An investigation by the carrier may be required to locate the parcel. Its duration does not suspend or extend the Buyer's statutory time limits and remedies; the Buyer is not required to wait twenty-one business days before exercising those rights.
Where TORR PENN is responsible for the loss or non-delivery, any new shipment intended to fulfil the order will be made at its expense, with no new delivery charge to the Buyer. A new shipment cannot be imposed on a Buyer who has validly terminated the contract. If a new shipment cannot be made and the contract is terminated, the refund will be processed in accordance with this Article.
These provisions do not exclude the Buyer's right to claim compensation for loss under the conditions provided by law. For orders already placed, the commitments applicable when the order was confirmed remain in effect, without reducing the Buyer's rights.
12 - RETENTION OF TITLE
THE PRODUCTS ARE SOLD SUBJECT TO RETENTION OF TITLE UNTIL FULL PAYMENT. For this purpose, payment means effective receipt in TORR PENN's account of payment for the Products, costs relating to the sale and interest.
If an amount due is not paid, even in part, the Buyer must, at the Buyer's own expense and risk, return any unpaid Products previously delivered after a request constituting formal notice sent by registered letter with acknowledgement of receipt.
13 - TRANSFER OF RISK
The risk of loss of or damage to the Products passes to the consumer Buyer when the Buyer, or a third party designated by the Buyer other than the carrier, takes physical possession of them.
If the Buyer entrusts delivery to a carrier chosen by the Buyer that was not offered by TORR PENN, risk passes to the Buyer when the Products are handed over to that carrier.
This transfer of risk does not exclude statutory warranties or TORR PENN's liability where it applies under the conditions provided by law, in particular for a defect in the Product or damage attributable to TORR PENN.
14 - CONFORMITY - RECEIPT
14.1. TORR PENN is responsible for the conformity of the Products under the conditions provided by law. Checking on delivery is recommended to make processing anomalies easier; failure to carry out a check or record reservations does not remove statutory warranties.
14.2. The Buyer is invited to report any defect or non-conformity as soon as it is identified. No seven-day period following delivery limits exercise of statutory warranties. Signing the delivery note does not constitute a waiver of those warranties.
14.3. The Buyer may send a claim to info@celeste-mogador.com or by post to: TORR PENN, 61 rue Jean Guéhenno, 35700 Rennes, France. The Buyer should provide information identifying the order, the Product concerned and the issue encountered. Photographs may assist with assessment of the request. Sending a registered letter is not a mandatory condition for handling the claim.
15 - WARRANTY
15.1. The Products offered by TORR PENN comply with the French legislation in force.
15.2. The consumer Buyer benefits from the statutory conformity warranty provided for in Articles L. 217-3 to L. 217-20 of the French Consumer Code. TORR PENN is liable for conformity defects existing when the Product is delivered and appearing within two years of delivery. For a new Product, defects appearing during this period are presumed to have existed on delivery, unless proved otherwise and subject to statutory exceptions.
The Buyer also benefits from the warranty against hidden defects provided for in Articles 1641 to 1648 of the French Civil Code. Where its conditions are met, the Buyer may choose to return the Product and obtain a refund of its price, or keep it and obtain a price reduction. Proceedings must be brought within two years of discovery of the defect, subject to any other applicable statutory time limits.
15.3. An additional commercial warranty applies only if it is expressly offered for the Product concerned, with its duration and terms. It does not replace or limit the statutory warranties described above.
15.4. Under the statutory conformity warranty, the Buyer chooses between repair and replacement of the Product, subject to the cases of impossibility or disproportionate cost provided by law. Conformity will be restored at no cost to the Buyer, without major inconvenience and no later than thirty days after the request.
The Buyer may obtain a price reduction or termination of the sale in the cases provided by law, including refusal to restore conformity, exceeding the statutory time limit, major inconvenience, persistence of the defect after an attempt to restore conformity, or a sufficiently serious defect. Termination is excluded for a minor defect, and the seller bears the burden of proving that the defect is minor.
These provisions do not limit statutory warranties, any statutory extension or renewal thereof, or the Buyer's right to claim compensation for loss under the statutory conditions.
15.5. Statutory warranties apply under the conditions provided by law. They do not constitute insurance against normal wear and tear or damage caused by misuse of the Product. Any exclusion must be justified by the cause of the defect and cannot exclude a conformity defect or hidden defect covered by law. The mere fact that a defect was visible or was not reported on delivery does not remove the statutory conformity warranty.
16 - PRODUCT RETURNS
16.1. To arrange a return under the warranties in Article 15, the Buyer is invited to contact TORR PENN at info@celeste-mogador.com. TORR PENN will provide the return arrangements. This step facilitates organisation of carriage; the absence of prior authorisation or a return number cannot, by itself, justify refusing a statutory warranty. No contractual seven-business-day time limit for returning the Product reduces statutory rights or time limits.
16.2. The Product must be packed so as to provide adequate protection during carriage. The original packaging may be used if available, but its absence or deterioration does not, by itself, justify refusing a warranty claim. Depending on the nature of the request, TORR PENN will specify the accessories required for its assessment. The Product's condition is assessed in light of the defect reported and the statutory warranty conditions; a defective Product cannot be refused solely because it is damaged.
16.3. Return costs and, where applicable, the cost of reshipping the Product are paid by TORR PENN.
TORR PENN will agree the return carriage arrangements with the Buyer. Liability relating to that carriage will be assessed under applicable law; no provision places all risks indiscriminately on the Buyer.
16.4. The practical return arrangements in this Article do not limit statutory warranties. Failure to follow them does not, by itself, allow the Products to be regarded as conforming or free from defects and does not cause the Buyer to lose statutory remedies.
17 - GENERAL REFUND TERMS
Any refund due from TORR PENN is made through the payment method used for the purchase. Another method, including store credit, may only be used with the Buyer's express agreement and at no additional cost to the Buyer.
Before the Buyer accepts store credit instead of a refund, TORR PENN will specify in writing its amount, validity period, conditions of use and the conditions for refunding any remaining balance. This information is then confirmed by email when the store credit is issued.
If store credit is used in part, only the amount actually used is deducted. The balance remains available until the end of the validity period, under the conditions accepted by the Buyer.
Unless a refund restriction was expressly accepted before the store credit was issued, during its validity period the Buyer may ask customer service to refund the unused balance, by telephone or by email to info@celeste-mogador.com. This refund will be made through the payment method used for the initial purchase, unless the Buyer expressly agrees to another method at no additional cost.
A refund request does not, by itself, constitute use of the store credit. The amount actually refunded is removed from its balance to avoid the same sum being used twice.
Acceptance or use of store credit does not impose any general waiver of statutory warranties or the remedies available to the Buyer, including against the Buyer's bank where the conditions for such a remedy are met. The same sum may not, however, be refunded twice; any established overpayment may be repaid under the conditions provided by law.
The conditions applicable to store credits already issued remain in effect, without reducing the Buyer's rights. These provisions concern store credits accepted instead of a refund.
18 - LIABILITY
TORR PENN is responsible for proper performance of the distance order concluded with the consumer Buyer, including where certain obligations are performed by its service providers, in particular the carrier offered for delivery. It retains its remedies against those service providers.
TORR PENN may be exempted from all or part of this liability only if it proves that the non-performance or improper performance is attributable to the Buyer, to the unforeseeable and unavoidable act of a third party to the contract, or to a force majeure event meeting the conditions of Article 21. Product unavailability, a strike, disruption to transport or a breakdown does not, by itself, constitute an exemption from liability.
TORR PENN's and the Buyer's respective obligations regarding importation are those provided by the applicable regulations. They do not exclude TORR PENN's statutory obligations relating to the Products sold.
No provision of these Terms and Conditions of Sale removes statutory warranties or rights to repair, replacement, refund, termination of the contract or compensation where their statutory conditions are met. Inability to use a Product therefore does not, by itself, deprive the Buyer of those rights.
The presence of information from third parties or links to other websites does not exclude TORR PENN's liability where it applies under the conditions provided by law.
19 - GOVERNING LAW - DISPUTES
These Terms and Conditions of Sale are governed by French law. This choice does not deprive consumers resident in another European Union country of the mandatory protections provided by the law of their country of residence where that law applies.
In the event of a dispute, the Buyer may first contact TORR PENN at info@celeste-mogador.com. If the matter cannot be resolved amicably, the statutory rules on court jurisdiction apply; consumers are not required to bring proceedings exclusively before French courts.
Consumer mediation
After submitting a written complaint to customer service and if no amicable solution is reached, the consumer Buyer may refer the matter free of charge to the consumer mediator appointed by TORR PENN:

20 - DATA PROTECTION
TORR PENN processes personal data necessary to manage orders, delivery and customer service and to comply with legal obligations. The purposes, legal bases, recipients, retention periods and any transfers are explained in the privacy policy.
Under the General Data Protection Regulation (GDPR) and the French Data Protection Act, Buyers may exercise, where applicable, their rights of access, rectification, erasure, objection, restriction and data portability.
To exercise these rights, Buyers may write to info@celeste-mogador.com or to TORR PENN, 61 rue Jean Guéhenno, 35700 Rennes, France. They may also lodge a complaint with the CNIL.
21 - FORCE MAJEURE
Force majeure is assessed in accordance with Article 1218 of the French Civil Code. It requires an event beyond the control of the party relying on it, which could not reasonably have been foreseen when the contract was entered into and whose effects cannot be avoided by appropriate measures, preventing that party from performing its obligation. A strike, shortage, breakdown or disruption to networks does not automatically constitute force majeure: the statutory conditions must be met.
If the impediment is temporary, the obligation concerned is suspended, unless the delay justifies termination of the contract. If the impediment is permanent, the contract is automatically terminated under the conditions provided by law.
TORR PENN will inform the Buyer of the impediment and its consequences for the order. Force majeure does not remove the Buyer's statutory rights in the event of late or non-delivery, or any refunds due if the contract is terminated, in accordance with Article 11.3.
22 - INTELLECTUAL PROPERTY
The Buyer shall have no intellectual or industrial property rights in the Products or any associated documents, and TORR PENN remains the exclusive owner of all such rights.
